Terms of Service

These Terms of Service ("Terms") govern your use of CareAgt's AI-powered on-call agent platform and related services. By accessing or using our services, you agree to be bound by these Terms.

1. Service Description

CareAgt provides AI-powered telephone answering and call management services designed for home care agencies and healthcare organizations. Our services include automated call answering, real-time transcription, multilingual support, call routing, SMS messaging, automation workflows, and a web-based management portal.

2. Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring authorized users comply with these Terms
• Promptly notifying us of any unauthorized access

3. Acceptable Use

You agree to use our services only for lawful purposes. You shall not:

• Use the service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or its infrastructure
• Use the service to make automated robocalls or spam
• Upload malicious files or content
• Resell or redistribute the service without authorization

4. Service Level

We strive to maintain high availability of our services. However, we do not guarantee uninterrupted or error-free operation. Our AI agents are designed to assist with call handling but should not be considered a replacement for emergency services. For medical emergencies, callers should always dial 911.

5. Data Ownership

You retain ownership of all data you provide to us, including contacts, audio files, and configuration settings. Call transcripts, recordings, and AI-generated summaries created through the use of our service are owned by you. We retain a license to use anonymized, aggregated data to improve our services.

6. AI Limitations

Our AI agents are powered by advanced language models but have inherent limitations:

• AI responses may occasionally be inaccurate or inappropriate
• Transcription accuracy may vary based on audio quality and accents
• Language translation is automated and may contain errors
• The AI should not be relied upon for medical advice or clinical decisions

You are responsible for reviewing AI-generated content and taking appropriate action. CareAgt is not liable for decisions made based on AI-generated information.

7. Billing and Payment

Service fees are based on your selected plan and usage. Billing details are provided at the time of account setup. You agree to pay all fees associated with your account. We reserve the right to modify pricing with 30 days' advance notice.

8. Termination

Either party may terminate this agreement at any time with 30 days' written notice. We may immediately suspend or terminate your account if you violate these Terms. Upon termination, you may request an export of your data within 90 days.

9. Limitation of Liability

To the maximum extent permitted by law, CareAgt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our services.

Our total liability for any claim arising from these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold CareAgt harmless from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or through our platform at least 30 days before they take effect. Continued use of the service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
